BOHS Ordinary Board Member

Appointment

By members of the Society at the AGM (Society Regulations 2.3).

The term of office is initially three years. Ordinary Board members may be re-elected but shall not serve in that capacity for more than six consecutive years.

A Board member is both a board director and a trustee of the charity.

Purpose

An Ordinary Board Member acts as Director and Trustee, assuring the governance and direction of the Society within Charity and Company Law and its Charter, byelaws, regulations, strategic aims and mission.

To represent the interests of members and to work with other Board Members and the Officers of the Society to provide governance and direction for the Society through the effective strategic oversight of its operations and the work of the Head Office, including:

  • oversight of risk
  • oversight of financial management
  • oversight of compliance within the context of Charity and Company Law
  • focus on the realization of the mission and strategic aims of the Society
  • advice to, support and oversight of Head Office functions, as reported in Quarterly Meetings
  • upholding standards
  • identifying Reserve Powers
  • engaging in pro-active, positive communications with members

Duties

  • Attend a minimum of three (out of four) Board meetings each year in addition to the Away Day.
  • Be appropriately informed and actively involved in discussion and decision making. This includes:
    • reading and writing papers
    • bringing constructive challenge
    • taking actions and completing them as required and according to timescales set.
  • Represent the Society as required
  • Take an active role in committees or working groups.
  • Other Positions Available

Eligibility

• The post-holder must be a member of the Society.
• The post-holder must be able and willing to fulfil the duties of the role (approximately one day per month).
